MUMBAI: Marico is taking a bigger bite of the wellness market, raising its stake in Satiya Nutraceuticals, which owns the PLIX brand, to 84.09 per cent through a Rs 1,012.03 crore acquisition.

The company said on 5 October that it had completed the acquisition of an additional 24.09 per cent stake in Satiya Nutraceuticals on a fully diluted basis. Marico previously held a 60 per cent stake in the company.

The latest transaction is part of definitive agreements under which Marico has agreed to acquire an aggregate additional 38.18 per cent stake in Satiya Nutraceuticals from its founders and certain other shareholders in tranches.

With the latest purchase, Marico’s aggregate consideration for its 84.09 per cent stake in Satiya Nutraceuticals stands at Rs 1,392.07 crore.

The remaining 14.09 per cent stake is scheduled to be acquired in July 2027, subject to the terms and conditions of the definitive agreements. The consideration for this tranche will comprise a base amount of up to Rs 592 crore, along with additional consideration linked to specified milestones.

The acquisition is being made entirely for cash. No governmental or regulatory approvals are required for the transaction, according to Marico’s disclosure.

Satiya Nutraceuticals, incorporated in February 2020 and headquartered in Mumbai, owns The Plant Fix, or PLIX, a plant-based nutrition and personal care brand.

Marico said its investment in the business has expanded its total addressable market in value-added foods and nutrition, while strengthening its presence in the fast-growing personal care and wellness categories.

The company’s wholly owned subsidiary, Juizo Advisory, is also part of the disclosed target entity structure.

Satiya Nutraceuticals has reported sharp growth in consolidated turnover over the past three financial years. Revenue rose to Rs 864.31 crore in FY2025-26 from Rs 432.84 crore in FY2024-25 and Rs 155.32 crore in FY2023-24.

That represents more than a five-fold increase in turnover over two years, giving Marico a fast-growing platform as it expands beyond its traditional consumer goods portfolio.

The latest acquisition from the founders and certain other shareholders includes related-party transactions, Marico said, adding that these are being carried out on an arm’s-length basis. The company’s promoter and promoter group have no interest in the transaction.

Marico’s latest move takes it closer to full ownership of PLIX, with the final 14.09 per cent tranche due next year, subject to the agreed conditions. The deal underlines the FMCG major’s push to build a larger presence in India’s health, nutrition and personal care markets.
