BANGALORE: Subex Systems Limited, the Bangalore-based telecom software product company today announced the acquisition of UK-based Azure Solutions Limited to create Subex Azure Limited. With a deal size over US$ 140 million, this is the single largest overseas acquisition by an Indian software company, according to an official release.

Subex currently enjoys the global leadership position for its Telecom Fraud Management System, Range. After the proposed acquisition, Subex Azure will also become the world’s leading vendor of Telecom Revenue Assurance Systems. This deal is a big step in augmenting Subex’s strategic business focus of helping telcos establish the Revenue Operations Center (ROC) through an integrated suite of best-of-class solutions, the release adds.

Post the acquisition, Subex Azure will count amongst its customers, 23 of the world’s largest 40 telcos and will have a customer base of over 150 customer installations in more than 60 countries. A highlight of the acquisition would be the emergence of British Telecom (BT) as a marquee Subex Azure customer.

Commenting on the acquisition, Subex Systems founder chairman, president & CEO Subash Menon said, “This deal will clearly propel Subex Azure to the position of market leader, way ahead of the competition. As the largest overseas acquisition to-date of its kind, this is a transformational transaction for both the Subex and the Indian software product industry. Further, the scale and boldness of the transaction has never been witnessed by the industry. This deal highlights India’s growing prowess in the global software products business and will focus the world’s attention away from India’s low cost advantage to her high quality resources capable of world-class innovation.”

Azure Solutions CEO John Cronin said, “We have always believed that the telecoms Revenue Assurance and Fraud Management markets would combine to address the overall problem that telecoms operators do not collect all their revenues. The combination of the two companies’ portfolios, customer bases and expertise creates the largest vendor in the market with global coverage. The customer need for the products and services supplied by Subex Azure has never been greater for current generation and next generation networks. I believe the new company has a great future.”

Harry Berry, a partner at New Venture Partners said "the logic of the deal is compelling and we are pleased to be able to bring these two companies together to create a truly global player. The combination of these two market leaders is a great outcome for customers and shareholders alike."

Jerry Ennis, partner at Doughty Hanson Technology Ventures, said "Doughty Hanson made a large investment in Azure in 2005 because we were convinced by the future of the Telco revenue assurance and fraud markets. I see this deal as further confirmation of the vitality of this market. Telcos around the world need to reduce revenue leakage and I believe the new company is uniquely placed with its portfolio, skills and global reach to solve their problems."
